We currently operate the following websites turbosquid.com, pixelsquid.com and squid.io (the ”Website” or the ”Websites”) and certain ancillary services and applications together (”Services”): b. Redistribution. You may NOT redistribute, publish or make available any media products to third parties, except in the form of a creation authorized or shared as permitted in this Agreement. 2. Rights Granted. For The Media Products, TurboSquid grants you a non-exclusive, perpetual, worldwide right and license to copy, distribute, reproduce, adapt, publicly display, publicly display, publicly perform, digitally perform, transmit, send, send, send, send derivative works from, and market Media Products in the Creations for the uses permitted by this Agreement. To license to customers in connection with a purchase the images contained as preview images in the Stock Media Product if the following conditions are met: (a) the Stock Media Product is of the 3D model type; (b) the Images could reasonably have been reproduced with the Media Product; (c) the images do not contain additional elements other than the personal mark, which can be easily cut from the image; and (d) the Images do not contain attributions. For the sake of clarity, less experienced customers sometimes ask to purchase 3D model thumbnails, and this section allows such use after a purchase by the customer. However, this would not be the case if such a preview image had an additional element such as a stock photo in the background. In addition, in this case, the customer would also have the rights to the 3D model, since it was a purchase, although the customer may never download the 3D model himself and only the promotional images. b. Access to multimedia products.
You must take all reasonable and customary steps to prevent other parties from accessing the Media Products. Multimedia products must be included in proprietary formats so that they cannot be opened or imported into a publicly available software application or frame, or extracted without reverse engineering. WebGL exports from Unity, Unreal, Lumberyard, and Stingray are allowed. All other open formats or encrypted formats with decryptable open standards (e.B. an encrypted compression archive or other WebGL programs not listed here) cannot use multimedia products. If your creation uses WebGL and you are not sure if it is eligible, please contact use@turbosquid.com and describe your creation in detail. 2. For the purposes of this Agreement, TurboSquid and Turbo Squid, Inc.
may be used interchangeably. 4. You agree to indemnify and hold harmless TurboSquid and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, licensees, suppliers, alliance members, other partners, employees and agents (”TurboSquid Parties”) from and against any and all claims or demands, including reasonable attorneys` fees, arising out of or arising out of your use of the Site and the materials transmitted. TurboSquid 3D Model LicenseThe 3D Model License is the final and definitive agreement regarding your use of TurboSquid 3D models. We`ve provided helpful summaries for your convenience, but the license itself is always the last word. ”StemCell” is a program that provides technology for file format conversion and portability of 3D files. All Media Products submitted under the StemCell Program are subject to any additional terms set forth in this Agreement. . b.
Non-compliance with licensing. Material failure to comply with the terms of this Agreement immediately terminates your right and license to the Media Products. If you discover a breach of the license grant by you or a recipient of published media products and immediately report the violation use@turbosquid.com, TurboSquid will attempt, in good faith, to find an appropriate remedy to obtain your license. b. Premium Custom License: To negotiate an individual contract and license for Stock Media products for qualified Premium custom licenses that require individualized agreements, procurement processes, or compensation and special warranties. TurboSquid will transfer the applicable license amount due to you for each purchase of a Media Product under this license and will use commercially reasonable efforts to maintain the terms of the Royalty Free License and the 3D Model License in such negotiations. You understand that these agreements are confidential to the Premium Customer Licensee and will not be disclosed to you. 7. Choice of Law. This license shall be governed by and construed in accordance with the laws of Louisiana, without regard to its principles of conflict of laws. Any action or proceeding arising out of or relating to this Agreement shall be brought in a state or federal court located in Orleans Parish, Louisiana, and both parties shall irrevocably submit to the exclusive jurisdiction of such courts.
All notices, requests and other communications under this Agreement must be in writing (electronic messages are considered in writing). I. Except as expressly authorized by you, use an online link, frame or falsify headers or URLs, or otherwise package the Site in any way for commercial purposes; one. Use User Generated Content, turboSquid Processed Content and Multimedia Products for the benefit of TurboSquid`s business, including: (i) to market, promote, publicly perform, publicly display, digitally perform; (ii) use any trademarks, service marks or trade names contained in connection with Media Products; and (iii) to integrate the Media Products into different parts of the Site`s user interface (e.B category icons). ”Website” means TurboSquid, PixelSquid, a Squid.io websites, APIs, software applications or approved means or utilities that exist now or in the future; the software and source code used by TurboSquid to provide these services; User interface layouts, designs, images, text, knowledge base articles, program offerings; Website information provided in the reports (e.B. popular keyword searches); and any other intellectual property rights protected by copyrights, trademarks, patents, publicity or other proprietary rights. 4. ”Customer” means any End User who purchases Turbo Toybox Content in any form or medium, known and unknown, through any channel, including, but not limited to, electronic delivery of software (”ESD”), products packaged in retail stores, prepaid download cards or other point-of-sale devices and original hardware equipment.
Payments from syndicated websites (defined in Section III(7) below) may be distributed less frequently on a particular syndicated website depending on the infrastructure and payment terms. TurboSquid will use reasonable efforts to allocate such royalties in a timely manner and will make payments to you in accordance with this section of the Agreement after the assignment. 4) You work with clients, but you also create your own creations – in this case, it`s like being an additional customer for your own creations. TurboSquid, Inc. (”TurboSquid”, ”we”, ”us” or ”our”) respects your privacy and is committed to protecting the personal information you provide during use. a. Interactivity. Your inclusion of Stock Media products in such creation is limited to uses where stock media product is included in an interactive experience for the user and is not provided outside of the interactive experience. .
